This case study focuses on the gay marriages in different states. In Massachusetts the State Supreme court had a ruling that the state constitution did not agree with same-sex marriages. The only way they could grant licenses was if the legislative acted to give same-sex marriages. After this ruling in Massachusetts; in San Francisco, California the mayor ruled that they could not deny same-sex marriages. Many same-sex couples began to apply for marriage licenses and got the marriage license. The gay marriages started to attract the media and many television cameras. Soon after the California State Supreme Court said that the San Francisco mayor had exceeded his power and they told the city to stop issuing these state marriage licenses to gay couples. Courts in other states followed the Massachusetts ruling not allowing same-sex marriages. It then began to report that other foreign countries were allowing same-sex marriages to become legal. This started controversy in the United States because people in America think of marriage in a very sensitive way and that commitment it between two people who love each other. Advocates of gay marriage wanted to know why when two people are in love that they couldn’t be married. This began to raise issues for gay marriage not being legalized. Advocates were speaking out that it not only is about the commitment between the two people but also about the legal rights that the couples would obtain. The gay couples wanted the rights that a couple of a married man and women would get. They wanted to be able to get the medical rights and property rights of other normal married couples. Advocates also argued that they have their freedom also and they have the right to be in love with whomever they choose to be in love with. They just wanted the same equality as everyone else. In others terms they stated that same-sex marriage was wrong and it shouldn’t be allowed in the state. The argument then began again about marriage should be between one man and one woman. They also began to state that children that come from a household of a man and woman being married benefited them. They believed that if same-sex marriage became legal there would become a downfall in society. It wasn’t about the rights and freedom of same-sex couples but the image that America was to hold and how society is taught that one man and one woman should be married. In elections later in 2004 and 2006 conservative politicians wanted to have a same-sex marriage amendment to forbid it. The arguments for and against gay marriage became more and more heated as the years went on. As votes were shown most people wanted civil union laws. When the vote for same-sex marriage came about only a minority was for it. Gay and lesbian couples began to arrange ceremonies that were not legal unless legally allowed in the state. To this day debates, arguments, and court cases still go on about the fight for gay marriage. Questions 1. What grounds, warrants, and conclusions do advocates for gay marriage and their opponents use? The advocates say that besides two people being in love and making a commitment but that same-sex couples should have the freedom to love whomever they choose have the rights as any other one man and one woman married couple were to have. The opponents believe that for reasons for society and to keep the image and to not cause a downfall in America that only a man and woman should be legally married. 2. How did claims favor of gay marriage evolve from those of the earliest advocates to the more recent campaigns after the ruling by the Massachusetts state supreme court? I believe that the Massachusetts ruling was part of the start that caused the claims to start and from all of this evolved the more recent campaigns and the issues coming from gay marriage. 3. How did opponents to gay marriage change their counterclaims to respond to new arguments by advocates of gay rights? The opponents changed their counterclaims because they had to be able to have an argument back to the new responses of the gay rights advocates.

Hildreth vs Tidewater Equipment Co

John Hildreth was the sole shareholder, director, and officer HCE, Inc, a corporation in New Jersey. HCE-NJ began to do business in Maryland in early 1997. According to the Maryland code, it is required for foreign corporations to register with the Maryland Department of Assessments and Taxation before doing intrastate business in Maryland, and it is required to have a resident agent in Maryland. In February 1998, HCE-NJ rented equipment from Tidewater Equipment Company, Inc. and again in September 1998. Tidewater and HCE-NJ signed a series of contracts, none of which were signed by Hildreth. When payments ceased after February 1999 repossessed the equipment and sued Hildreth holding him personally liable for the debts by HCE-NJ. Issue Is there a basis for piercing the veil of HCE-NJ and imposing personal liability for the corporate obligation on Hildreth? Rule In order for a court to pierce the corporate veil, two requirements must exist: (1) domination of a corporation by its shareholders; and (2) use of that domination for an improper purpose (defrauding creditors, circumventing a statute, or evading an existing obligation. Application In order for us to prove that Hildreth be held personally liable for the corporation’s obligation, we must consider various factors that can show if Hildreth practiced domination on the corporation and if that domination was used for an improper purpose. Hildreth was the sole shareholder and was personally involved in the management of the business. He was a â€Å"sole shareholder, director and officer† to this New Jersey corporation. Although HCE-NJ contracted with Tidewater, Hildreth, as a shareholder, was personally involved in the business transactions between HCE-NJ and Tidewater in agreement for renting construction equipment. Hildreth also failed to follow Maryland law by registering HCE-NJ with the Maryland Department of Assessments and Taxation before doing intrastate business in Maryland. Although Hildreth held no obligation to reveal that HCE was an unregistered foreign corporation to Tidewater, the situation can be used in court under Maryland law to pierce the corporate veil to promote justice and to prevent inequity. In this case, HCE owed Tidewater for the renting of construction equipment in the amount of $47,246. Another consideration is the fact that Hildreth may be using his position as a shareholder to avoid the corporation’s obligation towards Tidewater. The courts used Herbert Brune’s work as a reference to the case. According to Brune, the corporate veil may be pierced to prevent the evasion of legal obligations. It states that â€Å"the courts may consider a corporation as unencumbered by the fiction of corporate entity and deal with substance rather than form as though the corporation did not exist, in order to prevent evasion of legal obligation. HCE-NJ neglected to pay the payments due to Tidewater, which led the repossessing of construction equipment. The balance owed towards Tidewater was $47,246. The plaintiff has shown that there was an unfairness and inequitable result from this occurrence. Tidewater provided the equipment in return for payment, where HCE-NJ became unable to satisfy its obligation under contract resulting into unfair practices. For Hildreth to say that he is not personally liable for corporation debt, it can be seen as protection for himself from legal obligations. In defense, Hildreth cannot be held liable on the corporation’s obligation due to the fact that there was a lack of domination. There is no proof that Hildreth, as a shareholder, caused the corporation to act on his detriment or personal benefit. The only mention of Hildreth with Tidewater is when he informed, Kolbe, a Tidewater representative, of the office locations. Transactions and contracts were dealt and signed between Tidewater and an employee of HCE-NJ, not Hildreth. There is also no evidence that the shareholder caused the corporation to fail to follow corporate formalities. In addition, there is no allegation of fraud on either Hildreth or HCE-NJ. As for Brune’s work, the idea that â€Å"if a shareholder uses a corporation form in order to prevent evasion of legal operation† can only be used when the corporation demonstrates the â€Å"alter ego† doctrine. According to the â€Å"alter ego† doctrine, which allows personal liability of a corporate officer if the stockholders or the business itself fails to treat the entity as a corporation. There is no evidence that Hildreth exercised such complete domination over HCE-NJ to conclude that the corporation had no â€Å"separate mind, will or existence of its own. † Conclusion Although the courts reversed their judgment in favor of Hildreth, I find that Hildreth did not act only as a shareholder, but also as a director and officer of the New Jersey corporation. It shows that there is a possibility for the alter ego doctrine to take place since Hildreth wasn’t only a shareholder, but also participated in the business transactions between HCE-NJ and Tidewater. With the legal obligation of the corporation to pay Tidewater, and this not being met, I find that it results in injustice and inequity between the parties. It would be unjust for Hildreth to be able to shield himself from the corporate obligations by using the corporate entity as a defense. Therefore, I affirm judgment from the earlier decision of the court, in favor of Tidewater.

Children can play Grand Theft Auto they are playing as a gang member and your boss tells you to do crimes and get away with it. The police try to catch him but he can get away with whatever it is he does. When children get old enough they might try to steal cars, run people over, and beat up people and cops for no reason. The children might not know in real life they will get caught. They cannot hide from the cops. Grand Theft Auto can make children more aggressive, more violent at school and at home. Children can also talk on these games to other children or even adults online. They can hear cussing and talk about other things not needed for this game. Video Games can make children socially isolated, doing less homework, less hanging out with friends, can make children obese, less exercise, less going out, and less spending time with family. Interest children in different activities: soccer, football, baseball, tennis, volleyball. These sports would be a good exercise so the children will not be obese, just sitting in front of the television playing games. Encourage your child to get involved in other outdoor activities with other children in the neighborhood such as bike riding, or just childhood games outside can help tag, hid and seek or at a YMCA swimming, basketball. Get the child to play with his toys for a few hours out of the day. Go to the park for a day have a picnic, go hiking and go sightseeing. By telling Child to go outside and playing a sport or get involved in child activities will get them away from the video games. Tell the child to go bike riding around the block and get their mind off of wanting to play Grand Theft Auto would be better than them thinking of steal cars and beating up people. Another negative cultural influence is television. It has television shows children should not be watching, not much learning. Television is not always great it has a few channels that are learning channels but most are not teaching children anything. Some channels like Disney or nickelodeon have some learning shows but that is only in the early morning or way late at night and only for children that are in the younger ages. Cartoon network changes to adult swim after a certain hour. Children should not be watching these shows to name a few Family Guy, American Dad, and Robot Chicken. Family Guy has a talking dog, lots of cussing and is violent and also has sexual content. Robot Chicken is a show that does some parodies of other shows with cussing and violence as well. Children like to always watch television, but it is not educating children and is a waste of time for them when they can be doing other educated activities. Getting children educated is a better idea than watching television they will need to be educated for school. So having them read chapter books or read other books or magazines for a while will get them away from the television. Have children write a story or a few sentences to a paragraph depending on how old they are about what they have read or would want to read or learn about. Have children go outside and start a garden, plant vegetables and fruit. Learn how to grow a garden to pick fruit and vegetables when they are ready to be eaten. Children can always stay inside and play a board game there are a few games to play monopoly, trouble, and cards are really fun games. Boggle and scrabble would be also good to use their brains.
